All customer orders and contracts placed with CDS Ltd are subject to contingencies beyond their control and cannot be held responsible for any delay, damage or loss whatsoever arising from war, Government requisitions of any kind, industrial action, fire, floods, accident, failure of any third party that may prevent the supply of raw materials, manufacture, supply, shipment, arrival and delivery of goods. All estimations and quotations are based upon present costs of production, transport charges and manufacturer’s prices. In the event of any increases in the price of raw materials, wages, transport etc, CDS Ltd reserves the right to increase its prices.

Any query regarding goods supplied to the customer should be reported to CDS Ltd within seven days from receipt of invoice.

Payment of all customer accounts must be made within 30 days from month end. Non-payment of customer account when due, CDS Ltd reserves the right to suspend the customer account and any further deliveries until all arrears have been paid.

Goods delivered to customer site are made with the understanding that the site must be safe for vehicular access and where appropriate, customer assistance is given in unloading goods. Goods are deemed to have been delivered even if the site is unattended by the customer.

No warranty, express or implied, is given by CDS Ltd to the life or wear of the goods supplied nor that they will be suitable for any particular purpose or for use under specific conditions.

The property in the goods shall not pass to the customer until the customer has paid to CDS Ltd the whole price thereof, but all risk in such goods shall be borne by the customer from time of delivery or from time of collection by the customer.

CDS Ltd reserves the right to take every possible action to recover the possession of the goods in the respect of non-payment or part payment outstanding.

All contracts and all rights and obligations of both CDS Ltd and the customer shall be governed by Guernsey Law and therefore submit to the exclusive jurisdictions of the Courts of the Bailiwick of Guernsey.
